Terms of service

Draft version — will be finalised after legal review.

Scope

These terms govern Eloshon's services: software design, development, integration, maintenance, online shop migration and catalogue extraction.

They apply to the packages, maintenance plans and hourly rates published on the Pricing page, and to quoted services.

Ordering

Each package is described on the Pricing page: what it includes, what it doesn't and, where it has one, its guarantee. The description published on the day you order forms part of the contract.

To order, describe what you need through the contact form. We reply in writing with the package that applies, or with a quote if your case falls outside a package's scope.

A quote sets out the scope, deliverables, timeline and fixed price. No work starts without your written approval of the package or the quote.

Prices and payment

Prices are in euros, excluding VAT unless stated otherwise. VAT is added depending on your country and status, and the invoice shows it in detail.

The applicable price is the one published on the Pricing page on the day you order, or the one in the quote you accepted. It takes one of the following forms.

  • Fixed-price package: the published price applies as is, as long as your request stays within the described scope.
  • Package with a price range: we confirm the price in writing before we start. If your case goes beyond the range, we send you a quote.
  • “From” price (migration, catalogue extraction): this is the minimum price for the described scope. After we review your export or the website to extract, the quote sets the fixed price.
  • Quoted service: the price is the one in the accepted quote.

A confirmed price or an accepted quote is fixed: it does not change while the work is under way. If you ask for a change of scope, we send you a new quote, which you approve before any additional work.

Deposit and payment terms are stated on each quote or invoice.

Maintenance plans

Maintenance plans are billed monthly, at the price published on the Pricing page. Each plan states the intervention time included per month and the response time for your requests.

The included time covers fixes and content changes. Beyond it, the catalogue packages apply: we tell you which package applies and its price before we start.

The response time is counted in business hours: only the hours of working days count, Monday to Friday, excluding Belgian public holidays. Responding to a request means starting to handle it and replying to you in writing. How long the work then takes depends on the request.

Plans have no minimum term. To cancel, write to us through the form on the Contact page: cancellation takes effect at the end of the current month, which remains payable.

Other services billed monthly, such as a platform's monthly support or monthly SEO follow-up, also have no minimum term and are cancelled the same way.

Custom development: hourly rates

Custom development is billed by the hour, at one of the three rates published on the Pricing page. The rate depends on how heavy the work is; the Pricing page describes the kind of work each tier covers.

Before we start, we send you a fixed quote. It states the chosen tier, the number of hours and the total price.

This price does not change if the work takes more hours than planned. A change of scope you ask for gets a new quote.

Guarantees

Some packages carry a guarantee, shown in their details on the Pricing page. The guarantee that applies is the one published on the day you order.

  • Problem not solved: nothing is charged if the result described in the guarantee is not achieved. Examples: a bug that isn't fixed, a website not back online or not cleaned, a test payment that fails, a sign-in that doesn't work at delivery. If you have already paid for the package, it is refunded.
  • Verification refused by Meta or Google: we submit the request again, at no extra cost, until a decision is made. If it is finally refused, the package is refunded. The decision belongs to Meta or Google: we cannot guarantee it in advance.
  • Shop migration: if the counts do not match, one new migration is included. The counts compare the number of items exported from your old shop with the number imported into the new one, for example products.
  • Catalogue extraction: if the website to extract blocks the extraction, you pay nothing, and any amount already paid for that extraction is refunded. The review done before the quote tells you whether the website blocks automated access.
  • Pack combining several packages: each package's guarantee applies.

A refund covers the price paid to Eloshon for the package concerned. It does not include fees paid to third parties, described below.

Third-party fees

Our prices do not include fees charged by third parties. The third party bills or deducts these fees itself, under its own terms. For example:

  • Transaction and subscription fees of payment providers, such as Stripe, Mollie, PayPal or Adyen.
  • The Apple Developer account, paid to Apple, if you choose sign-in with an Apple account.
  • The security assessment by an external lab, when Google requires it before granting an app restricted access.
  • Subscriptions to automation tools, such as Zapier, Make or n8n.

The accounts opened with these third parties are in your name. Each package's details on the Pricing page list the third-party fees it does not include.

Obligations of the parties

Eloshon commits to a duty of best efforts. For packages that carry a guarantee, the commitment described in the guarantee applies in addition.

You commit to providing the information, documents and access needed: administrator access to the website or shop and, depending on the package, your company documents. Each service page details what to provide.

Liability

[to be completed — caps, exclusions, force majeure].

Applicable law

These terms are governed by Belgian law. Any dispute will be brought before the competent courts.
